Seller Agreement

MARKETPLACE MODEL Naatu Sandhai operates as an online marketplace connecting independent sellers ("Seller," "you") with buyers. The contract of sale for any product is directly between Seller and the buyer. Naatu Sandhai is not the seller, does not take title to Seller's goods, and acts solely as an intermediary facilitating discovery, order placement, and payment collection. 2. SELLER AS MERCHANT OF RECORD Seller is the merchant of record for every sale made through their storefront and is solely responsible for: product quality, accuracy of listings, self-delivery (where applicable), returns and refunds per the platform's baseline Return/Refund Policy, and compliance with GST, FSSAI (where applicable), Legal Metrology, and all other laws applicable to the goods sold. 3. INDEMNIFICATION Seller agrees to indemnify and hold Naatu Sandhai harmless from any claim, loss, penalty, or liability arising from Seller's products, listings, or fulfillment of orders, including claims of defective goods, misrepresentation, or non-compliance with applicable law. 4. CHARGEBACKS AND POST-SETTLEMENT REFUNDS Where a payment is reversed, disputed, or a refund is issued after settlement has already been paid to Seller, the corresponding amount is Seller's liability and may be deducted from future settlements or invoiced directly. 5. ACCEPTABLE USE Seller must comply with the platform's Acceptable Use and Prohibited-Items Policy at all times. Violation may result in listing removal or account suspension per the platform's moderation process. 6. DISPUTE RESOLUTION AND GOVERNING LAW Any dispute arising from this Agreement shall first be raised with Naatu Sandhai's grievance contact and given a reasonable opportunity to be resolved directly. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the courts at Kumbakonam, Tamil Nadu, India, and shall be governed by the laws of India. 7. TERM AND TERMINATION This Agreement remains in effect while Seller maintains an active storefront and may be updated by Naatu Sandhai from time to time; continued use after a new version is published constitutes acceptance of the updated terms.
